Important Notice

Please read these Terms of Service carefully before using our platform. By accessing or using PropertyInvest, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our platform.

1. Introduction

Welcome to PropertyInvest ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our real estate crowdfunding platform, including our website, mobile applications, and all related services.

PropertyInvest is operated by PropertyInvest UAB, a company registered in the Republic of Lithuania with company registration number 305123456, having its registered office at Gedimino pr. 1, Vilnius, Vilnius, Lithuania.

Our Platform operates as a crowdfunding service provider under the European Crowdfunding Service Providers Regulation (EU) 2020/1503 ("ECSP Regulation") and is authorized and supervised by the Bank of Lithuania.

2. Definitions

In these Terms, the following definitions apply:

"Account"
Your registered user account on the Platform.
"Developer"
A project owner who submits real estate projects for funding through the Platform.
"Investor"
A registered user who invests in Projects through the Platform.
"Investment"
A loan provided by an Investor to a Developer through the Platform.
"Project"
A real estate development or investment opportunity listed on the Platform.
"Wallet"
Your electronic money account on the Platform for holding and transferring funds.
"KYC"
Know Your Customer - identity verification procedures required by law.
"AML"
Anti-Money Laundering - procedures to prevent financial crimes.

3. Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Have full legal capacity to enter into binding contracts
  • Not be a resident of a country subject to international sanctions
  • Not be listed on any sanctions or prohibited persons lists
  • Have a valid bank account in your name in an EU/EEA country or equivalent jurisdiction
  • Successfully complete our KYC verification process
Investor Classification

Under the ECSP Regulation, investors are classified as either "sophisticated" or "non-sophisticated". Non-sophisticated investors are subject to additional protections, including:

  • A pre-contractual reflection period of 4 calendar days
  • Loss absorption capacity assessment
  • Investment limits based on annual income and net worth

4. Account Registration

To access our services, you must create an Account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate information during registration
  • Keep your Account information up to date
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to your Account
  • Accept responsibility for all activities that occur under your Account

You may only have one Account. We reserve the right to refuse registration, suspend, or terminate any Account at our discretion.

5. KYC Verification

Before you can invest through our Platform, you must complete our Know Your Customer (KYC) verification process. This is a legal requirement under anti-money laundering regulations.

Required Documents
  • Valid government-issued photo ID (passport, ID card, or driver's license)
  • Proof of address (utility bill, bank statement, or official document dated within 3 months)
  • Selfie or live photo for identity confirmation
  • Source of funds declaration for investments above certain thresholds
Ongoing Monitoring

We may request additional documentation or information at any time to comply with AML regulations. Failure to provide requested information may result in restrictions on your Account or termination of services.

6. Platform Services

PropertyInvest provides the following services:

Project Listing

Presentation of vetted real estate investment opportunities from qualified Developers.

Investment Facilitation

Processing of investments and creation of loan agreements between Investors and Developers.

Payment Processing

Management of deposits, withdrawals, and distribution of returns through your Wallet.

Portfolio Management

Tools to track your investments, returns, and overall portfolio performance.

Important: We act as an intermediary between Investors and Developers. We do not provide investment advice, and investment decisions are solely your responsibility.

7. Investments

7.1 Making an Investment

When you invest in a Project:

  • You enter into a loan agreement with the Developer (not with PropertyInvest)
  • Your investment amount is transferred from your Wallet to the Project
  • You receive the right to repayment of principal plus agreed interest
  • Investments are subject to the specific terms of each Project
7.2 Minimum Investment

The minimum investment amount varies by Project but is generally 500 EUR. Some Projects may have higher minimums.

7.3 Reflection Period

Non-sophisticated investors have a 4 calendar day reflection period during which you may withdraw your investment offer without penalty. This period begins when you make your investment commitment.

7.4 Investment Confirmation

Investments are confirmed when:

  • You have sufficient funds in your Wallet
  • The reflection period has expired (for non-sophisticated investors)
  • The Project reaches its funding goal
  • All required documentation is complete
7.5 Returns and Repayment

Interest and principal repayments are made according to the schedule specified in each Project. Common repayment types include:

  • Bullet: Principal and interest paid at maturity
  • Interest-only: Periodic interest payments, principal at maturity
  • Amortizing: Regular payments of principal and interest
7.6 Early Exit

Some investments may offer an early exit option subject to:

  • Availability of a secondary market or buyers
  • Early exit fees based on holding period
  • Platform approval

8. Wallet & Payments

8.1 Wallet Functionality

Your Wallet allows you to:

  • Deposit funds via bank transfer
  • Make investments in Projects
  • Receive interest payments and principal repayments
  • Withdraw funds to your verified bank account
8.2 Deposits
  • Deposits must be made from a bank account in your name
  • We do not accept cash, checks, or third-party transfers
  • Deposit processing typically takes 1-3 business days
  • Minimum deposit amount: 10 EUR
8.3 Withdrawals
  • Withdrawals are processed to your verified bank account only
  • Processing time: 1-5 business days
  • Minimum withdrawal amount: 10 EUR
  • Funds locked in active investments cannot be withdrawn
8.4 Currency

All transactions on the Platform are conducted in EUR. You are responsible for any currency conversion fees charged by your bank.

9. Fees & Charges

The following fees apply to our services:

We reserve the right to modify our fee structure with 30 days' prior notice. Changes will not affect existing investments.

10. Risk Disclosure

Investment Risk Warning

Investing in real estate crowdfunding projects involves significant risks, including the potential loss of your entire investment. Past performance is not indicative of future results.

Key risks include but are not limited to:

  • Capital Risk: You may lose some or all of your invested capital
  • Liquidity Risk: Investments are illiquid and cannot be easily sold
  • Project Risk: Construction delays, cost overruns, or project failure
  • Developer Risk: Default or insolvency of the Developer
  • Market Risk: Changes in property values and real estate market conditions
  • Interest Rate Risk: Changes in interest rates may affect returns
  • Regulatory Risk: Changes in laws and regulations
  • Platform Risk: Operational issues with the Platform

You should only invest money that you can afford to lose. We recommend diversifying your investments and consulting with a financial advisor before investing.

11. User Obligations

As a user of our Platform, you agree to:

  • Provide accurate and truthful information at all times
  • Keep your Account credentials secure and confidential
  • Notify us immediately of any security breaches
  • Comply with all applicable laws and regulations
  • Use the Platform only for lawful purposes
  • Not attempt to circumvent any security features
  • Not use automated systems to access the Platform without permission
  • Accurately report your tax status and pay applicable taxes
  • Read and understand the Key Investment Information Sheet (KIIS) before investing

12. Prohibited Activities

You must not:

  • Use the Platform for money laundering, terrorist financing, or other illegal activities
  • Provide false or misleading information
  • Create multiple Accounts or use another person's Account
  • Attempt to manipulate the Platform or any Project
  • Engage in fraudulent or deceptive practices
  • Violate intellectual property rights
  • Interfere with the proper functioning of the Platform
  • Harass, abuse, or harm other users or our staff
  • Use the Platform from sanctioned countries or on behalf of sanctioned persons
  • Reverse engineer, decompile, or disassemble any part of the Platform

13. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, is the property of PropertyInvest or our licensors and is protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute any Platform content without permission
  • Use our trademarks or branding without written consent
  • Remove any copyright or proprietary notices
  • Create derivative works based on our content

You grant us a non-exclusive, royalty-free license to use any content you submit to the Platform for the purpose of providing our services.

14. Disclaimers

14.1 No Investment Advice

PropertyInvest does not provide investment, legal, tax, or financial advice. All information on the Platform is for informational purposes only. You should seek independent professional advice before making investment decisions.

14.2 No Guarantee of Returns

We do not guarantee any returns on investments. Projected returns are estimates and may not be achieved. Historical performance is not a reliable indicator of future results.

14.3 Third-Party Content

Project information is provided by Developers. While we conduct due diligence, we do not guarantee the accuracy, completeness, or reliability of information provided by third parties.

14.4 Platform Availability

We strive to maintain Platform availability but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

14.5 "As Is" Basis

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

To the maximum extent permitted by law:

  • PropertyInvest shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
  • Our total liability for any claims shall not exceed the fees you have paid to us in the 12 months preceding the claim
  • We are not liable for losses resulting from Developer default, project failure, market conditions, or investment losses
  • We are not liable for unauthorized access to your Account resulting from your failure to maintain security

Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless PropertyInvest, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Your use of the Platform
  • Any content you submit to the Platform
  • Your negligent or wrongful conduct

17. Termination

17.1 Termination by You

You may close your Account at any time by contacting us. However:

  • You cannot close your Account while you have active investments
  • You must withdraw any remaining Wallet balance before closure
  • Closure does not affect your obligations under existing loan agreements
17.2 Termination by Us

We may suspend or terminate your Account if:

  • You breach these Terms
  • You fail to complete or maintain KYC verification
  • We are required to do so by law or regulatory order
  • We suspect fraudulent, illegal, or suspicious activity
  • You become subject to sanctions or prohibited persons lists
  • Your Account remains inactive for an extended period
17.3 Effect of Termination

Upon termination:

  • Your access to the Platform will be revoked
  • Outstanding investments will continue until maturity
  • Remaining funds will be returned after all obligations are settled
  • These Terms will continue to apply to existing investments

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

The European Crowdfunding Service Providers Regulation (EU) 2020/1503 and related EU legislation shall also apply to the extent relevant.

19. Dispute Resolution

19.1 Complaints Procedure

If you have a complaint, please contact us first at [email protected]. We will acknowledge your complaint within 5 business days and aim to resolve it within 15 business days.

19.2 Alternative Dispute Resolution

If we cannot resolve your complaint, you may refer it to the Bank of Lithuania for out-of-court dispute resolution. Details are available at www.lb.lt.

19.3 Court Jurisdiction

Any disputes that cannot be resolved through the above procedures shall be submitted to the exclusive jurisdiction of the courts of the Republic of Lithuania.

19.4 EU Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/odr.

20. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Email notification to registered users
  • Prominent notice on the Platform
  • Updating the "Last updated" date at the top of this page

Changes become effective 30 days after notification unless a longer period is required by law. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Platform and close your Account.
